These terms govern the cooperation between Corporathon, Tim Jamboula, and business clients for Corporathons, AI hackathons, workshops and enablement programs. They apply when they are expressly incorporated in an offer, order confirmation, booking flow or other agreement. Individual agreements, offers and service descriptions take precedence over these terms.
1. Provider and contracting party
The provider is Corporathon, Tim Jamboula (sole proprietorship). Provider information and contact details are listed in the imprint. Inquiries and booking requests are handled via https://cal.com/jamboula/ai-hackathon.
2. Audience and B2B focus
The offer is aimed at companies, freelancers, agencies, organizations and other business clients. It is not designed as a consumer offer, online shop or standardized self-service purchase. Contracts are usually concluded after a discovery call, a written offer and acceptance by the client.
3. Services
Corporathon designs and facilitates Corporathons, AI hackathons, workshops and enablement programs. Typical service elements include strategy and use-case selection, tool and agenda planning, workshop or hackathon facilitation, prototyping support, outcome documentation, handover recommendations and optional follow-up support. The specific scope follows the respective offer.
4. No guaranteed ranking or product outcome
Corporathon works in an implementation-oriented way and aims to create useful prototypes, learning progress and decision material in a short time. A specific commercial result, ranking, subsidy, official recognition or production-ready software state is owed only if expressly agreed in writing.
5. Client cooperation
The client provides the required information, stakeholders, access, sample data, subject-matter decisions and technical conditions in good time. Delays or limitations caused by missing cooperation may affect timeline, scope and outcome. Sensitive data should only be provided where necessary, agreed and legally permissible.
6. Tools, AI systems and third-party providers
Depending on the format, third-party tools and services may be used, such as AI models, automation platforms, prototyping tools, collaboration tools or scheduling services. The specific tool selection is agreed in advance. Third-party terms and privacy notices apply. The client remains responsible for its own accounts, approvals, internal policies and the permissibility of use within its organization.
7. Privacy and client data
Personal data is processed in accordance with the privacy policy and applicable data protection rules. For hackathon and workshop data, scope, purposes, access and deletion logic are agreed in advance. Where possible, anonymized, pseudonymized or synthetic data is used. Production data, confidential customer data or special categories of personal data should only be used where expressly agreed and safeguarded.
8. Prices, payment terms and expenses
Prices, payment schedule, scope, travel costs, tool costs and other expenses are set out in the respective offer. All prices are exclusive of statutory VAT where applicable. Invoices are payable within the deadline stated in the offer or invoice. If no deadline is stated, payment is due within 14 days after receipt of the invoice.
9. Dates, rescheduling and cancellation
Dates are agreed jointly. Free rescheduling is possible as long as no already booked travel, tool, partner or preparation costs arise and sufficient notice is given. In case of short-notice cancellation, missing cooperation or non-performance for reasons attributable to the client, already performed work, reserved capacity and incurred costs may be charged. Details may be regulated differently in the offer.
10. Rights to outcomes and materials
The client receives the usage rights agreed in the offer for outcomes, documentation, prototypes and work products created for the client. Pre-existing methods, templates, frameworks, prompt structures, facilitation concepts, code modules and general know-how of Corporathon remain the property of Corporathon. Open-source components, third-party assets and client data are subject to their respective license and usage terms.
11. Confidentiality
Both parties treat confidential information of the other party confidentially and use it only for the cooperation. This obligation does not apply to information that is public, lawfully received from third parties or independently developed. References, cases, logos or specific project outcomes are used only where agreed or otherwise permissible.
12. Liability
Corporathon is fully liable in cases of intent, gross negligence, injury to life, body or health and under mandatory statutory provisions. In case of slightly negligent breach of material contractual obligations, liability is limited to the typical, foreseeable damage. Any further liability is excluded to the extent legally permissible.
13. Compliance, EU AI Act and documentation
Programs may contain elements relating to AI competence, AI literacy or EU AI Act documentation. However, Corporathon does not provide legal advice, official certification or final compliance assessment unless this is expressly agreed with qualified partners. Clients remain responsible for their internal legal assessment, governance and implementation.
14. Final provisions
German law applies. Place of jurisdiction is, where legally permissible, the provider's registered or business location. If individual provisions are or become invalid, the validity of the remaining provisions is unaffected. Changes and additions should be made in text form.
